Terms of Service

These Terms of Service (“Terms”) govern your use of Spoogle (“the Service”), operated by Futuris Partners Pty Ltd (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing or using Spoogle, you confirm that:

  • You are at least 18 years old, or the legal age of majority in your jurisdiction
  • You have the authority to enter into these Terms on behalf of yourself or the organisation you represent
  • You will comply with these Terms and all applicable laws

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Spoogle is a schema markup generation platform. The Service allows you to:

  • Connect and crawl websites you own or have authorisation to manage
  • Generate structured data (JSON-LD schema markup) enriched with your business profile
  • Deploy generated schema to HubSpot-hosted pages via the HubSpot CMS API, or copy schema for manual deployment to other platforms
  • Track schema quality scores and improvements across your site

The Service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practical.

3. Account Registration

To use most features of the Service, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Keep your login credentials secure and not share them with others
  • Be responsible for all activity that occurs under your account
  • Notify us immediately of any unauthorised access

You are responsible for the accuracy of the business profile information you provide. Generated schema draws from this information, and inaccurate data may result in inaccurate schema output.

We reserve the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or otherwise pose a risk to the Service or other users.

4. Credits and Payment

Spoogle operates on a credit-based payment model.

How credits work:

  • Credits are purchased in packs via Stripe
  • One credit is consumed per schema generation
  • If generation fails for any reason, your credit is automatically refunded
  • Credits never expire
  • New accounts receive 5 free credits on signup
  • There is no recurring subscription

Refunds:

  • Unused credits are non-refundable
  • We may issue refunds at our discretion for service failures, billing errors, or exceptional circumstances

Pricing changes:

  • We may change credit pack pricing with reasonable notice
  • Price changes do not affect credits already purchased

Taxes:

  • Prices are shown in USD and exclude applicable taxes
  • You are responsible for any taxes, duties, or levies applicable in your jurisdiction

5. HubSpot Integration

If you connect your HubSpot account to Spoogle, you authorise us to:

  • Read CMS page metadata (landing pages, site pages, blog posts) to match URLs with generated schema
  • Write to the headHtml field of CMS pages to deploy schema markup
  • Access portal identification information (portal ID, portal name)

Spoogle does not access or store HubSpot contact data, deal data, marketing data, or any information outside CMS pages. You can disconnect HubSpot at any time from your account settings.

Deployed schema remains on your HubSpot pages after disconnection. Spoogle cannot remove or modify previously deployed schema once the connection is revoked.

You are responsible for maintaining appropriate permissions in HubSpot for the OAuth connection to function. If your HubSpot admin removes the connection, Spoogle will be unable to deploy schema until reconnected.

6. Data Processing and Third-Party Services

Spoogle relies on the following third-party services to deliver the Service:

  • Supabase — authentication, database, and storage infrastructure
  • Stripe — payment processing
  • Vercel — hosting and deployment
  • Firecrawl — website scraping and URL discovery
  • OpenRouter and Anthropic — LLM inference for schema generation
  • HubSpot — CMS integration for schema deployment (optional)
  • Google Analytics and PostHog — usage analytics

By using the Service, you acknowledge that your data will be processed by these services in accordance with their respective terms and privacy policies. See our Privacy Policy for more detail.

When you trigger a crawl or schema generation, Spoogle scrapes publicly accessible content from the URL you provide. You may only crawl websites you own, operate, or have explicit authorisation to access. You are solely responsible for ensuring your use of crawling features complies with applicable laws, website terms of service, and the rights of third parties.

7. Intellectual Property

Your content:

  • You retain all rights to the content on your website
  • You retain all rights to the schema markup generated by Spoogle for your use
  • You grant Spoogle a limited licence to process your content and business profile data solely for the purpose of providing the Service

Our platform:

  • Spoogle (including the software, design, branding, and documentation) is owned by Futuris Partners Pty Ltd
  • You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service
  • The Spoogle name, logo, and brand assets are our property and may not be used without written permission

Generated schema:

  • JSON-LD structured data generated by Spoogle for your pages is yours to use without restriction
  • You may deploy, modify, share, and commercialise the generated schema freely

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Generate schema for websites you do not own or have authorisation to manage
  • Attempt to reverse engineer, decompile, or extract the source code or AI models used by the Service
  • Use the Service to generate misleading, fraudulent, or deceptive structured data
  • Circumvent credit limits, rate limits, or authentication controls
  • Upload malicious code, attempt to introduce vulnerabilities, or interfere with the Service's operation
  • Use the Service to harass, abuse, or harm others
  • Resell or sublicense access to the Service without written authorisation

Violation of this section may result in immediate account suspension or termination.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” without warranties of any kind, whether express or implied
  • We do not guarantee that generated schema will result in improved search rankings, AI citations, or any specific SEO outcome
  • We do not guarantee that the Service will be uninterrupted, error-free, or secure
  • We are not liable for any indirect, incidental, consequential, special, or punitive damages
  • Our total aggregate liability for any claim arising from your use of the Service is limited to the amount you have paid us in the 12 months preceding the claim, or AUD $100, whichever is greater

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

10. Termination

You may terminate your account at any time via your account settings. Upon termination:

  • Your account and all associated data (business profile, generated schemas, credit history) will be marked for deletion
  • A 30-day soft-delete period applies during which data may be recovered by request
  • After 30 days, data is permanently deleted, except where retention is required by law (e.g. financial records for tax purposes)
  • Any schemas already deployed to your HubSpot account or other platforms will remain on those pages

We may terminate or suspend your account if you breach these Terms, engage in fraudulent activity, or create risk for the Service or other users. In such cases, we will provide reasonable notice where practical, except in cases of serious breach.

Unused credits are not refunded upon termination.

11. Changes to These Terms

We may update these Terms to reflect changes in the Service, legal requirements, or business practices. When we make changes:

  • We will update the “Last updated” date
  • Material changes will be communicated via email or in-app notice at least 14 days before taking effect
  • Your continued use of the Service after changes take effect constitutes acceptance

If you do not agree to the updated Terms, you may terminate your account.

12. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
